CONSTITUTION OF

WHEREAS, the undersigned are desirous of forming a non-for-profit
organization for the purpose of:

NOW, Therefore:
The undersigned, herewith form a not for profit organization to
be governed under this constitution and the bylaws adopted and
any revisions thereof in the future.
This organization shall be open for membership to all persons who
subscribe to the goals of the organization, and who further meet
the following requirements:

The affairs of the organization shall be governed by a board of
directors which shall have at least @132 members, and no more
than @133 members. All directors shall be at the time of their
nomination members in good standing of the organization. The
initial board of directors shall be appointed by the founders of
this organization, through a majority vote. Elections shall be
held each @134 months thereafter. Each member in good standing
shall be entitled to one vote.
The directors shall have the authority to:
set uniform dues and assessments of the members;
for such cause as they may deem appropriate, discipline,
including if in the opinion of the board of directors the
member's conduct has been detrimental to the organization,
suspend or expel such members; the actions of the majority of the
board of directors shall be final on such issues;
form such committees as they may feel needful from time to time
as may be required to discharge the business of the organization;
and further, to delegate such authority to any committee as the
directors may find needed to conduct the business of the
organization;
to adopt rules, regulations and policies which may be necessary
or useful to govern the organization's day to day functioning.
The members of the organization shall be provided, at least
annually, with a statement of the financial transactions of the
organization, for the preceding year. The statement shall be
certified to by a majority of directors as true and correct,
and any director dissenting from such vote shall be entitled to
present their objections to the members.
The board of directors shall establish by-laws for the further
government of the organization, which shall be presented to the
membership for vote. The same shall require a majority vote for
initial approval and a 2/3 (two-thirds) vote for any changes
thereafter.
